Terms of Service

These terms govern your installation and use of any app published by Prudix ("we", "us", "our") on the Shopify App Store (each, an "App"). By installing an App, you agree to these terms. Where an App has terms beyond what's described here, those are called out in a dedicated section below.

1. Acceptance

Installing any Prudix App on your Shopify store constitutes acceptance of these terms. If you don't agree, don't install — or uninstall before generating any content.

2. What our apps do

Prudix publishes focused Shopify apps that solve real merchant problems. Each App reads data from your Shopify store and may use third-party LLM providers (OpenAI, Anthropic) to generate content, recommendations, and analytics surfaced in an embedded Shopify Admin dashboard or, where applicable, your storefront.

Prudix Commerce (additional)

Prudix Commerce is an AI commerce suite bundling six flagships: Bulk Catalog Audit, Content Kits, Sales Leak Finder, Customer Retention Operator, Inventory & Cash Flow Operator, and AI Concierge. The AI Concierge flagship renders a widget on your storefront product pages, and an optional FAQ block can be added to your product pages through Shopify's theme editor.

3. Your responsibilities

  • You are responsible for reviewing all AI-generated content before publishing it to your storefront, sending it to shoppers, or pushing it to a third-party tool.
  • You must comply with applicable laws and Shopify's terms when using our Apps.
  • You are responsible for the accuracy, legality, and intellectual property of any content you input or publish, including merchant-supplied Knowledge Base sources.
  • You are responsible for granting the App the Shopify scopes it requests at install. Refusing a scope may disable specific features.

4. Billing

Billing is handled by Shopify under their App Billing API. You are billed monthly (or annually if selected) via your Shopify payment method. Plan changes take effect immediately for upgrades and at the next billing cycle for downgrades. We do not see your payment card information.

Fees are non-refundable. Subscription fees are charged in advance for each billing period. Uninstalling or cancelling stops future charges but does not refund or prorate the current billing period — you retain access for the time you've already paid for (see Section 9). We offer a free trial (Section 5) so you can evaluate the App before being charged. If you believe you were charged in error, contact support@prudix.app and we'll review it; any refund or account credit is at our discretion.

5. Trial

Where offered, a free trial period is available per App. Trial allowances and durations are shown on the App's pricing page. Trials apply to monthly plans; selecting an annual plan begins billing immediately. Trials are one-per-shop; uninstalling and reinstalling does not reset the trial. Shopify handles billing authorization — no credit card upfront.

6. Usage limits

Apps that meter usage (generations, actions, or similar units) show limits clearly on the pricing page. Failed actions are automatically refunded to your budget. Once you reach 100% of your limit, generation is blocked until renewal or upgrade — we do not charge overage fees.

Prudix Commerce (additional)

Plans are denominated in generations per month (200 Starter / 500 Growth / 1,200 Pro). Heavier models cost more generations per call; your choice of model is reflected in your budget, not in a separate charge.

7. Intellectual property

You own all content you create using our Apps, including AI-generated outputs. The Apps themselves and all underlying technology (orchestration code, prompt libraries, scoring algorithms) remain Prudix's intellectual property.

You grant Prudix a non-exclusive, worldwide, royalty-free license to use your shop data (products, reviews, orders, customer records, catalog metadata) solely to generate outputs for you and to operate and improve our services. We do not use your content, catalog, or customer data to train AI models or serve other merchants.

8. AI output disclaimer

AI output is generated based on the data you provide. We don't guarantee accuracy, factual correctness, brand voice fidelity, or fitness for any particular purpose. Always review and edit before publishing. You are solely responsible for content you publish to your storefront, send to shoppers, or push to third-party marketing tools.

Where an App renders AI-generated content to your storefront shoppers (e.g. the AI Concierge widget in Prudix Commerce), we render clear provenance indicators, but the merchant remains responsible for the accuracy of content shoppers see.

9. Cancellation and uninstall

Cancelling or downgrading your plan (App still installed): You can change or cancel your plan anytime from your Shopify admin. You retain full App access through the end of the billing period you've already paid for, followed by a 7-day read-only grace window. After that, generation and edits are blocked until you re-subscribe. Your data is retained while the App remains installed.

Uninstalling the App: Uninstalling immediately ends App access and stops future billing through Shopify. We purge all your shop data within 30 days of uninstall — or immediately upon a Shopify shop/redact request. Reinstalling within the 30-day window restores your data; after it, you start fresh.

10. Termination by Prudix

We may suspend or terminate your access immediately if you: (a) materially breach these terms or Shopify's App Terms; (b) use an App for illegal purposes or to infringe third-party intellectual property; (c) pose a security risk to our systems or other merchants; (d) engage in fraud, chargeback abuse, or payment reversal. On termination, your data is purged per Section 9 and our Privacy Policy's uninstall timeline.

11. Service availability

We aim for high availability but provide no formal uptime SLA. Scheduled maintenance and significant incidents are communicated to active merchants by email.

12. Limitation of liability

To the maximum extent permitted by law, Prudix is not liable for indirect, incidental, special, or consequential damages arising from your use of our Apps, including but not limited to lost revenue from AI-generated content, missed sales, or third-party processor outages. Total liability is capped at the amount you paid us in the trailing 12 months.

13. Changes to terms

We may update these terms. Material changes will be communicated by email to active merchants at least 14 days before they take effect.

14. Governing law and contact

These terms are governed by the laws of the Province of Ontario, Canada, without regard to conflicts-of-law principles. Any dispute shall be resolved exclusively in the courts located in Toronto, Ontario.
